Introduction of Private Placement (Venture Investment) or Other Equity Investment to Participate in the Share Reform of Key Reserved IPO Enterprises

Introduction: There are altogether 32 key reserved IPO enterprises in Loudi City (14 enterprises have been listed into the provincial key reserved IPO Resources Bank ), particularly including two enterprises which have completed the IPO counseling application and 12 provincial key IPO reserved enterprises are at the share-reform phase prior to their respective IPO.  Therefore, it is necessary to make greater efforts to introduce the private replacement (venture investment) or other equity investors to participate in the share reform of the would-be IPO enterprises prior to their initial public offering.

Here is a general profile of the 12 key reserved IPO enterprises open to the equity investment and share reform:

1. Hunan Yinghong Technological Co., Ltd., established in 1997, is a new and hi-tech enterprise highly integrating science, industry and trade, with the registered capital up to 18.18 million yuan. It covers a floor area of 66,000 square meters and  a construction area of  39,000 square meters. On November 27th, 2008, it was honorably identified as a new and hi-tech enterprise in Hunan Province (No. GR200843000103)，mainly engaged in R & D of the new-type composite ceramics.

2. Hunan Hongguan Group Co., Ltd. was established in 2010 as a large modern private-owned enterprise mainly engaged in the edible oil reserve and subcontracting sales and food production. The company has passed ISO9001-2008 international quality system certification.

3. Hunan Kingeagle Garment Co., Ltd. was a garment enterprise founded in 2005 mainly engaged in the professional production and sales of health and environmental protection clothes and textile products.

4. Hunan Xinmeige New-type Decoration Materials Co., Ltd. is a company newly founded by Foshan City Huasheng Building Materials Co., Ltd., with the registered capital totaling 35 million yuan, covering a land area up to 60 mu. In 2008, the company’s product obtained the ISO9000 international quality system certification and at the same year it was reputably identified as Hunan famous brand. The company was awarded the title of the Chinese enterprises with the most strong development potentials.

5. Xiangcun Hi-tech Agricultural Co., Ltd. is an agricultural industrialization provincial leading enterprise founded in September 2004 and mainly engaged in the industrialization development of Xiangcun Black Pig (formerly called “Hunan Black Pig”). The company’s products have been honorably awarded the title of organic product and have obtained the ISO9001 and ISO14001 international quality system certification.

6. Hunan Jiulong Technological Agriculture Co., Ltd. was founded in June 2001 with the registered capitalof 52.28 million yuan and the current fixed assets of 148 million yuan as a provincial new and hi-tech enterprise and the agricultural industrialization leading enterprise, It is mainly engaged in the ecological agriculture development. In November 2009, it was honorably presented with the title as Hunan Provincial New and Hi-tech Enterprise （No. 0343013B0884）.

7. Hunan Guangyi Agricultural Development Group Co., Ltd., established in 2008, has been engaged in the intensive pig production since 1997 with the registered capital of 28 million yuan. Now it has developed into a privately-run technical agricultural industrialization leading enterprise integrating pig breeding, plantation and garden greening, logistics and farmers’ market development, etc. The company has obtained the pollution-free agricultural produce certificate and ISO9001 and ISO14001 national standard certificate and organic product certificate.

8. Hunan Nongyou Machinery Group Co., Ltd. was established in 1995, mainly engaged in “Good Fortune” combined rice polisher, disintegrator, Cultivator and electrical machine, etc., all of which have passed ISO9001: 2000 international quality management system certificate.

9. Hunan Teban Commercial Co., Ltd. is a professional footwear company founded in March 2009, mainly engaged in the wholesale and commercial chain-store retail of footwear.

10. Hunan Dingyuan Auto Parts Manufacturing Co., Ltd. was set up in 2010 reorganized from the original Shuangfeng County Machinery Plant with its business scope covering auto parts and components, Automobile axles. Agricultural vehicle outer-wheel axles, agricultural machine accessories, automotive electrical equipment, electric battery, lathes, electric generating sets, metal material manufacturing and sales. In 2002, it obtained ISO9001: 2000 quality certificate and its products have all been identified as qualified by Hunan Provincial Gear Products Quality Monitoring Authorization Station. So its products comply with the ZBT21004-89 and QC/T294-1999 quality standard requirements and in 2009 the company won 4 national utility model patents and also obtained the Auto industrial ISO/TS16949:2002 international quality certificate.

11. Hunan Shuangfeng Xiangyuan Huangshi Electric Co., Ltd. founded on May 18th, 2000, mainly engaged in its self-manufactured products and the technological export business, the raw and secondary materials as needed by this company for its own production, instruments and meters, machinery and equipment, parts and technical import business（except for those products and technologies strictly prohibited for business operation and from import）; processing imported materials and the "Three-plus-one" business; Satellite television ground receiving equipment, and the production, sales, installation and commissioning, after-sale service of electronic products, antitheft door, burglary-resisting window, electromagnetic oven, reaping machine and Set-top box housing and the mental materials wholesales.

12. Lengshuijiang Jinfuyuan Alkali Industry Co., Ltd.: its predecessor was Hunan Provincial Lengshuijiang Alkali Works, founded in 1967, and reorganized into a privately-run enterprise in 2005 as Lengshuijiang Jinfuyuan Alkali Industry Co., Ltd., which has developed into a modern enterprise with the production of calcined soda and ammonium chloride respectively at 200kt/a through the continuous energy-saving technological transformations.
